EXPLANATORY NOTE

 

Powerdyne International, Inc. (the “Registrant” or the “Company”) hereby files this Registration Statement on Form S-8 relating to its common stock, par value $0.0001 per share (the “Common Stock”), which have been reserved for issuance and are issuable pursuant to the Powerdyne International, Inc. 2014 Stock Incentive Plan (hereinafter referred to as the “Plan”).
