It is announced that Mr J Carnell, a Director of South Staffordshire Water
PLC, has today acquired 350 ordinary shares of 10p each under the South
Staffordshire Group's Restricted Share Scheme.  The shares were provisionally
awarded on 10 July 1997 with an award period of 3 years with the vesting of
the provisional awards depending on the fulfilment of performance criteria
relating to EPS, water quality and customer service standards.  These
performance criteria having been met, the Trustees of the Scheme have allowed
the shares to vest.

The shares were acquired for no consideration but are subject to income tax
and NI.  Mr Carnell now holds 10,395 ordinary shares (0.02% of the class).

A total of 14,350 ordinary shares of 10p each have vested with 37 participants
receiving between 250 and 2,000 shares each.  The shares were previously held
in the South Staffordshire Water Employee Trust and thus that Trust has today
disposed of 14,350 shares (0.02% of the class).  The Trust now holds 73,110
shares (0.1% of the class).
