BOARD CHANGES
African Eagle Resources plc is pleased to announce the appointment of Mr
Geoffrey Cooper as a Non-executive Director of the Company. Mr Cooper brings to
African Eagle a distinguished background in commercial law, including extensive
experience in the mineral resources sector. The Company also announces with
regret the resignation of Mr Herman Oehl as a Non-executive Director.
Geoffrey Cooper is a commercial and contracts lawyer with 36 years
post-qualification experience, most of it in international mining and the North
Sea oil and gas industry. He is currently a legal adviser to Vodafone, one of
the UK's largest companies.
Geoffrey qualified as a barrister in 1967 and practiced as such until 1974, when
he entered the resources industry as in-house lawyer to Tanks Oil and Gas. For
twelve years from 1977, Geoffrey was in-house Legal Adviser to BP Minerals,
where he played a significant role in a wide variety of commercial and financial
negotiations and was responsible for the preparation and efficacy of all the
resulting legal documentation. He was a leading member of the BP teams which
wrote and negotiated joint venture, project management, royalty, product sale
and other contracts for precious metal, base metal, gemstone and uranium
projects in 14 countries, including an Indenture between the Olympic Dam JV and
the State of South Australia.
In addition, he wrote and negotiated financing, including limited recourse
finance and gold loans, for several mining projects. He negotiated with the IFC
in Washington a loan to, and equity in, an alluvial gold project in Indonesia.
He contributed to a number of offer documents for stock market flotation; the
scheme of arrangement for BP Minerals to buy out the minority shareholders in
Seltrust and the sale of non-core assets and subsidiaries, including the
management buyout of the Amari Group. He also wrote and negotiated licences
over BP's intellectual property, such as patented metallurgical processes and
software used for mineral exploration and the calculation of ore reserves.
Herman Oehl's departure to pursue other business interests in North America is
noted with regret by the Board. Mr Oehl was a founding shareholder of the Group
and had been a non-executive Director since October 2000. He made a considerable
contribution to African Eagle's development, thanks to his worldwide business
background, and the Company wishes him well in his future ventures.
