                         Statement re Possible Offer



The Board of Capital Bars plc (the "Company") notes the recent rise in the
share price of the Company.

The Company confirms that it has received an approach from certain members of
the management team, which may or may not lead to an offer being made for the
Company. Whilst discussions about the possible offer are still ongoing, the
directors who have expressed an interest in making an offer for the Company
have indicated that any offer would not exceed 21p per share.

A further announcement will be made in due course.
