INVESCO Tokyo Trust PLC (the "Company" or "ITT")

The Company has posted a circular to Shareholders and Warrantholders in relation
to the Proposals that were announced on 14 August 2002. Under the Proposals,
Shareholders are being offered the opportunity, pursuant to a voluntary
liquidation of the Company and scheme of arrangement under section 110 of the
Insolvency Act 1986, to roll over their investment into the Company in a
low-cost, tax efficient and flexible manner into new ordinary shares of
Perpetual Japanese Investment Trust PLC ("PJIT") and/or receive cash. In
addition, certain eligible shareholders may reinvest in the INVESCO Japan Alpha
Fund, a new open-ended fund investing in Japan. The existing INVESCO Tokyo
Warrants will lapse in accordance with their terms and new PJIT warrants will be
offered to Warrantholders.


The full terms of the Proposals are set out in the above-mentioned circular and
shareholders are also referred to the prospectus and circular to shareholders
posted by PJIT.



The expected timetable is as follows:
