Issue of management fee shares

The Company announces that it has issued 45,636 ordinary shares of $0.01 each ("Ordinary Shares" and "New Ordinary Shares") to the Company's Investment Manager, Ecofin Advisors, LLC, in relation to fees payable for the period from 1 January 2022 to 31 March 2022. The New Ordinary Shares have been issued in accordance with the Investment Management Agreement ("IMA"), pursuant to which 15 per cent. of the management fee is payable in the form of Ordinary Shares, subject to a rolling lock-up of 12 months. The details of the IMA were disclosed in the Company's Annual Report for the period ended 31 December 2021.

The New Ordinary Shares are being issued at a price equal to the prevailing unaudited cum income Net Asset Value per Ordinary Share as at 31 March 2022 of 97.64 cents per New Ordinary share.

Applications will be made for the New Ordinary Shares to be admitted to the premium segment of the Official List, and to trading on the London Stock Exchange's Main Market for listed securities ("Admission"). It is expected that Admission will become effective at 8am on 3 May 2022. The New Ordinary Shares will rank pari passu with the Ordinary Shares already in issue.

Following Admission, the Company's issued share capital will consist of 125,099,134 Ordinary Shares. Therefore, the total number of voting rights of the Company is 125,099,134 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Combined with previous management fee share purchases and issuances, the Investment Manager and the relevant associates will hold a total of 178,341 management fee shares.
