Grant of Buyout Awards

Mark FitzPatrick was appointed to the Company's Board of Directors as Chief Executive Officer Designate on 1 October 2023.

On 24 October 2023, Mark was granted the following nil-cost options under the St. James's Place plc Performance Share Plan over 100,044 Ordinary Shares of 15 pence each in respect of the buy-out of a portion of the share awards that Mark forfeited on leaving his previous employment. The number of shares awarded has been calculated using a market price of GBP6.4388 per share.

The nil-cost options will vest in tranches on the vesting dates shown in the table below, subject to the achievement of performance conditions. Any shares which vest will be subject to a post-vesting holding period of two years from the relevant vesting date.
