Notice of Reconvening of AGM

On 29 July 2022 Tintra, the rapidly innovating Deep Tech & Banking company held its annual general meeting (the "AGM"). At the AGM there was an adjournment of three resolutions related to the annual report and accounts for the year to 31 January 2022 (the "Annual Report"). Today the board of directors (the "Board") announces the reconvening of its annual general meeting to cover those three resolutions (the "Adjourned AGM").

The Adjourned AGM is being held at the offices of Allenby Capital, 5 St Helen's Place, London, EC3A 6AB, commencing at 10:00 a.m. on Wednesday 21 September 2022. The notice of the Adjourned AGM will be published on the Company's website today.

Supplementary Note to Annual Report & Accounts

After the publishing of the Annual Report on 1 August 2022 the Board identified that the Annual Report included two typographic errors in Note 28. Neither of these had any impact on the Consolidated Statement of Profit and Loss, however despite no amendments being required to the statement the Board wanted to correct the record of these two typographic errors. This desire by the Board resulted in the preparation of a supplementary note from the Company's auditors to amend Note 28 (the "Supplementary Note").

In note 28, the first paragraph relating to Tintra Acquisitions Limited, as published, originally read as follows:

"As per the terms set in RNS of 24 November 2021, Tintra Acquisitions Limited which is an entity that is controlled by Richard Shearer, invoiced management Services to the Company in the year in the total amount of GBP250,000."

It should have read:

"As per the terms set in RNS of 25 March 2021 , Tintra Acquisitions Limited which is an entity that is controlled by Richard Shearer, invoiced management Services to the Company in the year in the total amount of GBP179,463.90."

A copy of the Supplementary Note is being published today on the Company's website in compliance with its articles of association and the electronic communications provisions of the Companies Act 2006. A copy of the Supplementary Note will be laid before shareholders at the Adjourned AGM alongside the Annual Report.

Abdul Sajid, the Company's Chief Financial Officer said 'Whilst these variances were typos that had no impact on the financial aspects of the report, our strategy is one of complete diligence in all matters and as such we spent a considerable amount of time with our auditors ensuring that this was dealt with in a conclusive manner. It may well be that this is overkill for a couple of typos, but I want to ensure under my watch that the market has total clarity in our reporting however small the matter might be or appear to be."
