Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On July 28, 2024, Mehgan Peetz, the Chief Legal Officer and Corporate Secretary, and a named executive officer of Shoals Technologies Group, Inc. (the “Company”), informed the Company of her resignation, effective August 23, 2024. The Company and Ms. Peetz will work together to ensure a smooth transition with the support of the Company’s robust legal department and the Company’s outside counsel.
