Murray Nye, President & CEO of RXE, Max Polinsky, the former CFO of RXE, Mike
Gunsinger, Vice President Mining Operations of RXE and Bob Bannerman. 


The dissidents are attempting to take control of the board of directors of your
company at the currently scheduled June 7, 2011 shareholder meeting by proposing
a handpicked board to serve the dissidents' interests. Your board is dismayed by
the self-serving nature of the dissidents' action to take control of your
company. Your board intends to take all reasonable actions to ensure the
interests of all shareholders are considered and protected, and that the
shareholders are informed of the complete record of all relevant facts so that
the shareholders can make an informed decision.
