ITEM 8.01 OTHER EVENTS

On March 14, 2008, stockholders of Great Pee Dee Bancorp, Inc. ("Great Pee Dee") approved the proposed merger between Great Pee Dee and First Bancorp. In addition, on March 14, 2008, the Board of Directors of Great Pee Dee declared a cash dividend of $0.16 per shares.
