What Is the OTC Markets Expert Market? Securities Lawyer Blog
Most of the companies quoted on OTC Markets are not able to meet the minimum listing requirements for trading on a national securities exchange. Many of these companies do not file periodic reports or audited financial statements with the SEC, making it difficult for the public to find current, reliable information about those companies. Companies quoted on the OTC Markets are divided into four tiers, the OTCQX, the OTCQB, the OTC Pink and the Expert Market. Companies on the Expert Market provide the lowest level of disclosure in comparison to other OTC Market tiers. As a result, trading is limited to quotation on an unsolicited basis.

On October 15, OTC Markets reported that “2,247 former Pink No Information securities shifted to the Expert Market tier, where securities may only be quoted on an Unsolicited (customer order) basis. Quotes of securities in the Expert Market are “Unsolicited Only,” which means that trades of securities subject to unsolicited quotation in the Expert Market are only available to broker-dealers, institutions and other sophisticated investors, and not average investors.

The SEC’s amendments to Rule 15c2-11 became effective on September 28, 2021. Amended Rule 15c2-11 eliminated broker-dealer quotes of securities of issuers that fail to make current information publicly available. With the amendments to Rule 15c2-11, the OTC Markets Group Expert Market became the platform for broker-dealers to publish unsolicited quotes of securities designated as “No Information” securities. Typically, these are companies not subject to or not in compliance with SEC public company reporting requirements.

Because of the restrictions imposed on securities quoted on the Expert Market, most investors will not be able to publicly sell their shares. Additionally, they will not have access to bid and ask prices or other information, including trading volume. As such, Expert Market shares are illiquid.

Companies moved to the Expert Market from another OTC Markets tier can apply to relist on the OTC Pink or other OTC Markets tier by becoming an SEC reporting company, submitting a new Form 211, and meeting OTC Markets requirements for the particular tier.

No, pretty much RBSY has falling in the same way This mangement does it's Companies since 1995.
There is No company or assets, just a Dark Shell.
Glad I bailed out before the OTC Rule 15c2 11 took effect as the hipe on a RM never happened. Funny my original position was from like 2006/2007 and was dead money for many years.

RBSY on last filings has added Richard Suber on it as an Advisor. That is SAKL which I see been getting filings up to date and Converting Debt.
I would guess that the original R/M that RBSY was trying to do last year was something with Richard Suber involvement.

Along this other connected management Richard with SAKL that does the same thing. They just sell shares, do Reverse Splits, Pump & Dump, then change name and start the process all over again.

Delmar and friends have NOT done RS's for many years. SGDH and CGRW have not been reversed or diluted, look at their SS's. It used to be a habit (see ARES, ARET and others), but they definitely learned from the failures of the toxic death spiral approach. That's why I had so much hope for RBSY, if it had survived, if these guys were still involved and if they secured a decent RM. But ... our beautiful Cinderella never got to the ball.

I don't think anyone will RM with them on EM. Maybe I'm wrong on that.

The only way RBSY trades again is by a RM, which then gives them 18 months time period to become operational. Funny RBSY is the only one from these guys operating and rebranding companies that has not done a Reverse Split. And this gang loves HUGE Reverse Splits.
But then again RBSY been out of operation for like 12 years.

Funny that MMs are still playing around with it at .06. Can't be too much incentive to do anything with RBSY at all. Maybe they don't have any idea what happened either.

Yes, that was definitely a mistake on their end. They probably did the paperwork too quickly and confidently. The question is, will OTCM grace them, now that they are admittedly a shell? I think not. There may also be other fundamental problems with the SS or accounting for of shares. Whatever the case, from what I can see, the company has given up and gone into that good night. Bye RBSY.

If you followed what they said, they said they were not a Shell in filings, then they tried to back out of that and say they are a Shell. That Status has changes serveral times.
The 15c-211 rule gives 18 month time frame as a Shell to be operational or lose public quote status when under a Shell status.
These guys got caught in a lie, they are NOT operating and they are NOT trying to get RBSY operating.

You misunderstand. RBSY is (or was) a shell looking for a merger. Thousands of PC companies have no revenues, profits or assets. That's the point - they are empty Shells ready to be filled. Regarding your other comments, SGDH and CGRW are PC. If they are scams, by your assumptions they would be thrown onto the EM too, but they weren't. I own no shares of either, btw. Ss

Let me say it this way, OTCM was following the New SEC rule 15c-211. Companies like RBSY with NO Revenue, Assets , Ect. for years can not SCAM investors any more.

OTCM can't make biased arbitrary decisions about a company's potential. Decisions have to be objective and fair. There is obviously something majorly wrong that they discovered a minute before midnight. Looks like RBSY is going down without a fight. The problems were probably too great to overcome, and Suber and Currier won't even bother to write an epitaph. Ss
