The board of directors and management of
Touchmark Bancshares, Inc. (the Company) are currently in the process of
completing the final review and approval of the Companys financial statements
for the fiscal year ended December 31, 2009 and the related
financial disclosures for the Form 10-K. The Company anticipates that it will be able
to file its Form 10-K for the fiscal year ended December 31, 2009 no
later than the reporting deadline provided by this extension.
The additional time required to complete the
review and approval of the financial statements and related financial
disclosures has delayed the completion of the preparation of the Form 10-K
and caused the Company to be unable to file its report within the prescribed
due date without unreasonable effort and expense.

The Company expects to report a net loss of $2,920,003 for the fiscal
year ended December 31, 2009, a decrease of approximately $240,000 in net
loss from the $3,164,924 in net loss reported for the fiscal year ended December 31,
2008, based in part on an increase in interest income from loans.
