At-the-Market Program has been terminated

COLLEGE PARK, Md.--(BUSINESS WIRE)--Mar. 10, 2025--IonQ, Inc. (NYSE: IONQ), a leader in the quantum computing and quantum networking industries, today announced that under its “at-the-market” equity offering program (the “ATM Program”) it has sold a total of 16,038,460 shares of its common stock for an aggregate amount of approximately $372.6 million, netting aggregate proceeds of approximately $360 million.

The Company has determined that it has raised a sufficient amount under the program to meet its currently anticipated capital needs. The Company also determined that given overall recent market disruptions, the trading prices for its shares, and the overhang from having an ATM Program in effect, the ATM Program should be terminated. The Company has therefore terminated the ATM Program today and a prospectus supplement will be filed under Rule 424(c) reflecting such termination.

Niccolo De Masi, the Company’s President and CEO, said “We are pleased to have been able to raise over $350 million, even in the recent turbulent markets. On a pro-forma basis, this brings our cash balance on December 31, 2024 to over $700 million. We are confident that we now have the capital we need for continued global leadership in both our quantum computing and quantum networking divisions.”

The Company noted that while, following the termination of the ATM Program, the Company’s officers and directors generally would not be limited in their ability to sell shares during the Company’s current open trading window through March 14, 2025, none of the Company’s executive officers or directors intend to sell any shares during the trading window, except our Executive Chair, Peter Chapman.* Mr. Chapman has previously disclosed that he may sell shares during the window, and he may exercise options for up to 2.0 million shares and sell those shares to meet near term capital needs related to a personal real estate purchase and to pay taxes associated with option exercises. Mr. Chapman hasn’t exercised options or sold any shares over the past six years, and what he may sell represents less than 23 percent of his vested equity interest in the Company.

*Excludes shares sold to cover statutory tax withholding obligations in connection with the vesting of restricted stock units.

So I guess its not smart to take profits when the market is high, sit back and watch it drop and then re-enter the market and ride it back up?

Retail traders account for 10%-20% of the market. So it is doubtful that all of this downward pressure is just from them.

According to you the smart play here is to ride it down, go down with the ship and watch your profits evaporate?

Look at NVDA. They have great fundamentals (which you don't have here) and their price is dropping as well.

You clearly have studied up on quantum physics and how light bends etc.

However it might be time to open a book and read up on stock trading 101. When the market in general is going down for a variety of reasons, it usually pulls everything down with it.

Just look at it as a buying opportunity. With IDQ joining forces with us and Qubitekk etc etc etc this corporation is going places. Again. There is nothing but good news out. Hang onto your shares. Number 2 I think Peter was waiting for a few more advancements and maybe even a Tempo announcement to really turn her loose on a ad campaign . We shall see. I think the pace is going to pick up soon. The first Tempo is already sold to Quantum Basil and I’d bet the AFRL is next, and maybe S. Korea or the U. A. E. too? Stay tuned. G D is in the picture too. And let’s not forget Astra Zeneca , Hyundai etc etc etc My guess is they’re all waiting on Tempo

I believe it is because they have a better p r campaign. Niccolo is fixing that by stepping out front and getting on the business news shows . Very few people have even heard of quantum and even fewer understand what it is. We need to keep educating the public on quantum. And we need to stress that quantum plus A I is the future. I see us stepping up the ed campaign with the speakers at the upcoming conferences etc but I think we need to do more to really step out front and make IonQ ubiquitous in the quantum field. “Keep your eye on IonQ “ could be a start?

What was laughable a few weeks ago to some, who lashed out at that prediction, is now the reality here.

Perhaps it was only the turds who sold high and buy back in low, rather than loading and buying everything in sight in the mid $30s or $20s, as suggested by the vocal few here.

Thank you for the informed and well crafted response.

One thing to consider is that some products cost a lot at introduction, but once scaled up and become mainstream, the costs are reduced significantly.

For example, when flat screen TVs first hit the market they cost $25k and were about 42 inches. Manufacturing and design improvements helped bring the prices down, screen sizes kept getting larger and sales went up.

Hopefully, we experience some improvements and breakthroughs in technology here which translate into higher sales and revenues.

If you read the last, AFRL PR, even the military had to go to Congress to get sufficient funding to allow them to buy and install one of IONQ‘s quantum devices.

In most companies, the equivalent process would be for an officer of that company to take and argue a business case in front of the board of directors.

At the current price for IONQ product and services, very few will ever be sold and revenues will not increase at a rapid rate, if at all.

Unless and until, their product becomes much more affordable, the share price will continue to fall until revenues substantially increase, and there’s at least a glimmer of hope that there will be some earnings in the foreseeable future.

There seems to be a lot of focus here on all of the great things IONQ is doing, and that is wonderful.

However, each of these accomplishments, partnerships and strides forward are drowned out by the overall market (and manipulation) which is pulling this down.

An unpopular observation, but I don't think we have hit bottom yet here.
