In reference to section 9, the shares detailed are managed by
the named discretionary investment management entity within
multiple portfolios on behalf of underlying clients, based on
investment management agreements whereby the client has delegated
the exercise of the voting power to the referenced investment
manager.
This disclosure is to reflect the fact that previous disclosures
detailed that none of the voting rights attached to shares were
directly held as there was an inter-company delegation agreement
which delegated management and voting discretion to one of abrdn
plc's underlying investment management entities, abrdn Investment
Management Limited. However this delegation agreement has been
updated to reflect that abrdn plc directly holds management and
voting discretion for those shares detailed in Sections 8A and
9.
As a consequence of the above, this disclosure reflects the fact
that the voting rights held directly by abrdn plc are above the 10%
notifiable threshold as at 30 September 2022.
As of 30 September 2022, abrdn plc directly holds 10.410974% of
the delegated voting rights of the shares in Phoenix Group Holdings
PLC.
