Reconstruction of Share Capital

The Board of the Company is pleased to announce that following the completion of the merger (with the company previously known as Amati VCT 2 plc) and following shareholder approval at the general meeting of the Company on 31 October 2011, the reconstruction of the ordinary shares of 5p each in the Company (the "Shares") (such that the underlying net asset value (NAV) of each Share was to be rebased to 100.0p), has now been effected.

The total number of Shares in issue prior to the merger and the share reconstruction was 39,416,860 and the NAV of each Share was 42.06p.

As a result of the reconstruction, each shareholder in the Company now holds approximately 42 Shares in respect of each 100 Shares they previously held at the close of business on 9 November 2011, resulting in 28,058,200 Shares remaining in issue. The ratio of Shares post reconstruction to Shares prior to the reconstruction is 0.4220842. The remaining balance of Shares has been redesignated as, in aggregate, 38,422,530 deferred shares of 5p each.

All of the deferred shares will be repurchased by the Company for a nominal sum of 1p in aggregate in accordance with the articles of association of the Company and cancelled.

Following this redesignation there are, in aggregate, 28,058,200 Shares in issue each with an unaudited NAV of 99.8p. The reconstruction of the share capital of the Company does not impact the value of Shareholders' holdings.
