Issue of Equity

The Directors of Downing Protected VCT V plc are pleased to announce an
allotment on 3 April 2006 of 1,712,632 ordinary shares of 1p each ("Ordinary
Shares"),  payable at 100p per share, pursuant to the Offer that opened on 13
December 2005 ("the Offer").

The Company has now issued 20,000,000 Ordinary Shares under the Offer and the
Offer has closed, fully subscribed.

The Company has issued an additional offer for subscription of up to 1,700,000
Ordinary Shares ("Top-Up Offer"). The Directors of the Company are pleased to
announce an allotment on 3 April 2006 of 1,700,000 Ordinary Shares, payable at
100p per share, pursuant to the Top-Up Offer.

The Company has now issued 1,700,000 Ordinary Shares under the Top-Up Offer and
the Top-Up Offer has closed, fully subscribed.

Application will be made at the earliest practicable opportunity for the above
shares, which will rank pari passu with existing ordinary shares, to be admitted
to the Official List of the UK Listing Authority and to trading on the London
Stock Exchange's market for listed securities.

Within the allotment under the Offer that took place on 31 January 2006, David
Megginson, a member of the Investment Management team, was allotted 26,100
Ordinary Shares at a price of #1 per share.  This represents 0.1% of the issued
share capital of the Company.
