Notice of Extraordinary General Meeting ("EGM")
Kibo Energy PLC ('Kibo' or the 'Company') , the renewable energy
focused development company , announces that a Notice of EGM &
Sample Proxy Form ('Notice of EGM') is now available on the
Company's website:

The EGM will be held at 12 noon on Friday, 9 February 2024, at
the Grand Canal Hotel, Grand Canal Street Upper, Dublin 4, D04 X5X7
, Ireland.
The Notice of EGM is being dispatched by post today to those
shareholders who have indicated a preference to receive hard
copies. Shareholders should consult the notes to the Notice of EGM
for detailed information on the options for returning proxies.
The directors and management are encouraging shareholders to
approve all resolutions on the Notice of EGM for which they and
their Related Parties comprising 8.16% of the issued share capital
will be doing.
Shareholders should note that Resolutions 1, 2 & 3 on the
Notice of EGM are seeking shareholder approval to dis-apply
pre-emption rights for share issues until the Company's next AGM
later in 2024 and to enable the Company to update the Company's
Articles & Memorandum of Association with the Companies
Registration Office in Ireland following a reduction in par value
of the Company's shares and an increase in the authorised capital
of the Company previously approved at a Company EGM held on 2 June
2023 last. The three resolutions are Special Resolutions that
require approval by at least 75% of votes cast in person or by
proxy at the EGM to be carried.
