MicroFuze  International  Plc  ("MicroFuze"  or "the Company"),  a  developer  of  innovative  surface
engineering  technology, is pleased to announce that all resolutions proposed at  the  Annual  General
Meeting of the Company held today were passed unanimously by shareholders on a show of hands.

The  Company also announces that, whilst shareholders gave approval under resolution 7 to permit  dis-
application  by  the  Company of pre-emption rights in respect of �500,000 in  nominal  value  of  the
Company's ordinary shares, the Board of MicroFuze clarified that ordinary shares with a nominal  value
of  �227,053.67 have already been issued and allotted, and therefore the Directors are  authorised  to
issue  ordinary shares with a nominal value of up to �272,946.34 which equates to 181,964,223 ordinary
shares for cash otherwise than pre-emptively.
