Response to recent Empire Statement

TXO plc ("TXO", the "Company"), the AIM quoted oil and gas investment company, notes the recent announcement made by Empire Corporation International ("Empire") following the lodgement of an 8K filing in the United States.

The recent announcement contains the views and opinions of Empire and these are not necessarily the same as those of held by TXO.

With regards to Tasmania Oil and Gas Limited ("TOG") it should be noted that Empire and TXO will respectively be 45% and 25% shareholders following legal completion of the JV agreement. The completion of the JV agreement is conditional upon the success of the EL 14/2009 license appeal which is scheduled to be heard on 22 April 2013. The Company expects to make further update announcements as appropriate in relation to this process.

Pertinent extracts from the recent Senergy Competent Persons Report, referred to in the Empire Announcement, were announced by TXO on 29 January 2013 and a copy of the report has since been made available for download on the Company's website (www.txoplc.co.uk).

TXO will give a full update on TOG and its other investments at the time of the Annual General Meeting, to be held on 12 March 2013.
