approved and adopted the Agreement and Plan of Merger (the Merger Agreement) dated as of May 1, 2012 by and among Open Text Corporation, a Canadian corporation (Open Text), Epic Acquisition Sub Inc., a Delaware

Merger, each outstanding option to acquire shares of Common Stock became fully exercisable and vested and was cancelled and converted into the right to receive, in consideration of such cancellation, a cash payment equal to (x) the excess of
$7.25 over the exercise price per share of Common Stock subject to such stock option, multiplied by (y) the aggregate number of shares of Common Stock then issuable upon exercise of such stock option. Any such payments will be paid subject to
all applicable federal, state and local tax withholding requirements.
