As permitted by Delaware law, the Registrants Amended and Restated Certificate of Incorporation provides that no director will be personally liable to the Registrant or its stockholders for monetary damages for breach of fiduciary
duty as a director, except for liability:

The Registrants Amended and Restated Certificate of Incorporation further provides that the
Registrant must indemnify its directors to the fullest extent permitted by Delaware law. In addition, the Registrants Amended and Restated Bylaws provide that:

The Registrant has entered into indemnification agreements with each of its directors and executive officers that require the Registrant to indemnify
these persons against expenses, judgments, fines and settlement amounts incurred by the director or officer in any action or proceeding, whether actual or threatened, to which any of these persons may be made a party by reason of the fact that he or
she is or was a director or an executive officer of the Registrant or any of its affiliated enterprises, provided such person acted in good faith and in a manner he or she reasonably believed to be in, or not opposed to, the best interests of the

At present,
the Registrant is not aware of any pending or threatened litigation or proceeding involving any of its directors, officers, employees or agents in which indemnification would be required or permitted. The Registrant believes that its charter
provisions and indemnification agreements are necessary to attract and retain qualified persons as directors and officers.
