The Briscoe Law Firm, PLLC, founded by a former state prosecutor
and enforcement attorney for the United States Securities and
Exchange Commission, and the law firm of Powers Taylor, LLP are
investigating potential legal claims against the Board of Directors
of Salary.com, Inc. (“SLRY” or “Company”) (Nasdaq: SLRY) in
connection with the recently announced sale of the Company to
Kenexa Corporation (Nasdaq: KNXA). Under the terms of the proposed
transaction, SLRY shareholders would receive only $4.07 per share
in a transaction that is expected to close in the fourth quarter of
2010. The investigation relates to possible breaches of fiduciary
duty and other violations of state law by the Board of Directors of
Salary.com for approving this merger, whether the consideration to
be received by the shareholders of Salary.com is fair, and whether
Salary.com’s Board of Directors acted in the shareholders’ best
interests.
Salary.com had recently announced financial reports that
demonstrated it had achieved positive operating cash flow earlier
than anticipated, and also announced that its strategic realignment
had been completed.
