Placing of Ordinary Shares at a price of 107.5 pence per
Ordinary Share
Digital 9 Infrastructure plc (the "Company" or "DGI9") today
announces the launch of a placing of new ordinary shares in the
capital of the Company ("Ordinary Shares") at a price of 107.5
pence per Ordinary Share (the "Placing Price") (the "Placing")
pursuant to the terms of its existing Placing Programme, details of
which are set out in the Company's prospectus published on 8 March
2021 (the "Prospectus").
Placing Highlights
-- The Company is targeting gross proceeds of approximately
GBP200 million, which could be exceeded subject to demand(1) , to
be issued under the existing Placing Programme.
-- The Placing Price of 107.5 pence per Ordinary Share
represents a discount of 8.7 per cent. to the closing price of
117.8 pence per Ordinary Share on 3 September 2021 (being the date
immediately prior to the announcement of the prospective Placing)
and a 4.0 per cent. premium to the 30 June 2021 NAV of 103.34
pence.
-- The new Ordinary Shares issued under the Placing will rank
pari passu with existing Ordinary Shares, including the right to
receive dividends and distributions declared after admission of the
new Ordinary Shares(2) .
-- The net proceeds of the Placing will be used to acquire
further assets in line with the Company's investment objective,
identified in the Company's pipeline of investment opportunities,
as set out in the Prospectus. The Company currently has an
immediate pipeline of over GBP670 million of investment
opportunities, of which GBP167 million is under exclusivity or
non-competitive.
Investment Background
-- The Company raised GBP300 million of gross proceeds at its
IPO on 31 March 2021, and a further GBP175 million via an
oversubscribed placing conducted pursuant to the Placing Programme
on 8 June 2021.
-- On 6 September 2021, the Company completed the acquisition of
a data centre, Verne Holdings Limited (trading as Verne Global,
"Verne Global"), a leading Icelandic data centre platform
delivering sustainable data centre solutions in a geographically
optimal environment.
-- On 28 July 2021, the Company announced it has entered
definitive agreements to deploy over GBP50 million into the
development of a new intercontinental fibre system, Europe
Middle-East India Connect 1 ("EMIC-1").
-- On 1 April 2021, the Company announced the acquisition of
Aqua Comms, a platform owning and operating some 14,300km of the
most reliable and resilient trans-Atlantic sub-sea fibre systems -
the "backbone of the internet".
Use of Proceeds and Pipeline(3)
-- The net proceeds of the Placing will be used to acquire
further assets as identified in the Company's IPO pipeline of
investment opportunities.
-- The Company's Investment Manager, Triple Point Investment
Management Limited LLP ("Triple Point" or the "Investment Manager")
has identified a near-term pipeline of, in aggregate, over GBP670
million of which GBP167 million is under exclusivity or
non-competitive and we anticipate completing on these at various
stages over the next two months.
o The pipeline includes a further six data centre investments
opportunities with an aggregate value of approximately GBP188
million, including a premier metro data centre based in the UK for
which the Company has secured exclusivity.
-- In addition, the Investment Manager has identified a 12 month
pipeline of c. GBP1.85 billion of operational opportunities.
Notes:
1 - Approximately 590 million Ordinary Shares remain available
to be issued under the Placing Programme (following the issue of
Ordinary Shares in respect of the placing conducted by the Company
in June 2021), representing GBP634 million at the Placing Price of
107.5 pence
2 - Not including the first dividend declared for the quarter
from Initial Admission to 30 June 2021 in an amount of 1.5 pence
per Ordinary Share payable on or around 30 September to
shareholders on the register on 17 September 2021.
3 - It should be noted that there are no legally binding
agreements in place concerning the acquisition of the investments
identified with the pipeline of opportunities and there can be no
guarantee that any such agreements will be entered into or that the
Company will acquire all or any of the pipeline investments
