                              ACQUISITION

Bolton Group (International) Limited ("Bolton Group"), the real estate holding
and development group, announces that its wholly owned subsidiary, Bluekirk
Limited, has exchanged contracts to acquire an 8.3% interest in Megacom Holdings
Limited ("Megacom") for a total cash consideration of #300,000.

Megacom is a private limited company incorporated in Hong Kong, which holds
interests in three advertising operations in Mainland China, Megacom Advertising
Limited (95%), Neusky Media Limited (100%) and Innovedia Limited (100%). The
group is an expanding organisation, which is involved in a full range of
advertising, marketing and media activities, including hotel and in-flight
magazines and innovative, in-store audio visual marketing.

Peter Derby, Chairman of Bolton Group, said: "In recent years, Bolton Group has
been seeking opportunities to move its investment strategy away from the
property sector into areas offering greater potential growth. The investment in
Megacom is seen as a positive step in improving our prospects for growth."
