The following Final Terms are available for viewing:

The Toronto-Dominion Bank has issued USD 1,750,000,000 of 5.141 % Covered Bonds due September 13, 2028 (the "Series CBL 56 Covered Bonds ") pursuant to its CAD 80,000,000,000 Global Legislative Covered Bond Programme, unconditionally and irrevocably guaranteed as to payments by TD Covered Bond (Legislative) Guarantor Limited Partnership.

The following document constitutes the final terms dated September 11, 2023 relating to the issue of Series CBL 56 Covered Bonds (the "Final Terms") for the purpose of Article 8 of Regulation (EU) 2017/1129, as amended, as it forms part of United Kingdom domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended, and must be read in conjunction with the Prospectus dated June 30, 2023, as supplemented by a 1(st) combined supplementary prospectus dated August 25, 2023 (the "Prospectus"). Complete information on The Toronto-Dominion Bank and the offering of Series CBL 56 Covered Bonds can only be obtained by reading the Final Terms together with the Prospectus.
