    VOTING RIGHTS AND CAPITAL

    In conformity with the Transparency Directive's provisions we would like to notify the market of the following:

    Octopus Second AIM VCT plc's capital as at 28 November 2008 consists of 7,669,349 Ordinary shares, 8,214,295 'C' shares and 12,026,498
'D' shares with a nominal value of 5p each, with voting rights.  Octopus Second AIM VCT plc holds 473,741 Ordinary, 75,000 'C' shares and
25,000 'D' shares in Treasury.

    Therefore, the total number of voting rights in Octopus Second AIM VCT plc is 27,336,401 (the 'Figure').

    The Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Octopus Second AIM VCT plc under the FSA's Disclosure and Transparency Rules.
