                                 EGM Statement


Oxonica plc, an AIM quoted leading international nanomaterials group, is pleased
to announce that the resolution proposed at the Company's extraordinary general
meeting held earlier today relating to the placings (the "Placings") of new
ordinary shares of 1p each in the capital of the Company ("Ordinary Shares") was
duly passed by shareholders.


As a consequence, 20,071,426 new Ordinary Shares are expected to be allotted to
certain investors and existing shareholders (or their associated investment
vehicles) in connection with the Placings. At a price of 21 pence per share, the
Placings will raise approximately �4.2 million (before expenses) for the
Company.


Application has been made for these new Ordinary Shares, which will rank pari
passu with the existing Ordinary Shares in issue, to be admitted to AIM
("Admission"). In order to protect the Company's eligibility for VCT and EIS
status, the Placings will be effected in two tranches. As a result it is
expected that the admission of 4,452,381 new Ordinary Shares will become
effective at 8.00 a.m. on 20 December 2007, and the admission of 15,619,045 new
Ordinary Shares will become effective at 8.00 a.m. on 21 December 2007.
Following Admission, the Company will have 65,471,567 Ordinary Shares in issue.
