           On March 26, 2008, BEA Systems, Inc. and Oracle Corporation submitted their pre-merger notification filing to the European Commission for Oracle’s proposed acquisition of BEA. As previously announced, BEA has scheduled a special meeting of its stockholders, to be held at 10:00 a.m. Pacific time on Friday, April 4, 2008, to consider and vote on the proposed merger. The transaction still requires BEA stockholder approval and regulatory clearance from the European Commission and is subject to other closing conditions.
