INTRODUCTION

This Registration Statement on Form S-8 is filed by Intuit Inc., a Delaware corporation, (“Company” or “Registrant”), pursuant to General Instruction E to Form S-8, to register 12,200,000 additional shares of the Company’s common stock, par value $0.01 per share, for issuance pursuant to the Intuit Inc. Amended and Restated 2005 Equity Incentive Plan (the “Amended and Restated Plan”).
