COBHAM ACQUIRES THE HARRISON DIVISION OF THE SIERRACIN CORPORATION, RECEIVES THE
FIRST ORDER FROM THE UNITED STATES NAVY FOR IR COUNTERMEASURE DECOYS AND FURTHER
ORDERS FOR BOEING 747-400 FUEL PUMPS



Cobham plc announces that it has reached agreement with Sierracin Corporation to
acquire, subject to regulatory approvals, the business and assets of the
Harrison Division (Harrison).  The agreed consideration is $10.5 million payable
in cash, subject to final adjustment at completion and will be funded from
existing cash resources.  The acquisition will be managed by Stanley Aviation
Corporation, based in Denver, Colorado, a part of Cobham's Aerospace Systems
group.



Harrison is headquartered in Burbank, CA and has a European sales and
distribution centre located near Paris, France.  It designs and manufactures
high pressure fluid connectors for military and commercial aircraft as well as
tooling for aircraft manufacturers and support providers.



Cobham also announces the award of a contract for Infra-red Countermeasures
Decoys from the United States Navy to FR Countermeasures Inc (FRC).  The total
contract value, including options, is $2.125 million.  These infra-red
countermeasures are used on US Navy combat aircraft.



FRC, a division of FR Countermeasures, also part of Cobham's Aerospace Systems
Group, was formed in April 2002.  FRC has invested over $20 million in the
development of a world class countermeasures decoy pyrotechnic facility.  This
facility sets standards for safety and quality and occupies industrial space
within the US Army Milan Ammunition Plant, Tennessee, on long term lease.



Cobham further announces that FR-HiTEMP, another Cobham Aerospace Systems
company, has received orders from Japanese Airlines (JAL)  to retrofit fuel
pumps for their Boeing 747-400 fleets.  These pumps are manufactured at
Titchfield, UK.



There are 16 pumps and housings on each aircraft and, including an order from
British Airways announced in July this year, there are a total of 99 aircraft
sets now on order.  The value of this retrofit programme is potentially $35
million.



Commenting on the announcements, Allan Cook, Chief Executive, Cobham plc, said:



" I am delighted to be able to announce the acquisition, the twelfth by Cobham
this year, of the Harrison Division.  It enhances Stanley Aviation's position in
the Fluid Distribution System market for both military and commercial aircraft.
The order from the USN for Countermeasure Decoys for FRC Inc is excellent news
in a potential market of some $180 million and it shows the first returns from
our long-term investment in the Milan facility.  The FR-HiTEMP pump orders are a
good example of Cobham innovation in a niche market."
