State Street Bank and Trust Company, located at One Lincoln Street, Boston, Massachusetts, 02111, serves as
the custodian of the Funds assets pursuant to a custody agreement. Under the custody agreement, the Custodian holds the Funds assets in compliance with the 1940 Act. For its services, the Custodian will receive a monthly fee paid by the
Fund based upon, among other things, the average value of the total assets of the Fund, plus certain charges for securities transactions and out of pocket expenses.
American Stock Transfer & Trust Company, located at 6201 15th Avenue, Brooklyn, New York 11219, serves as the Funds dividend disbursing agent,
as agent under the Funds Plan and as transfer agent and registrar for the common shares of the Fund.

Company also would be expected to serve as the Funds transfer agent, registrar, dividend disbursing agent and redemption agent with respect to any preferred shares issued.

Supplement. The maximum commission or discount to be received by any Financial Industry Regulatory Authority, Inc. (FINRA) member or independent broker-dealer will not exceed eight percent. We will not pay any compensation to any
underwriter or agent in the form of warrants, options, consulting or structuring fees or similar arrangements.
If a Prospectus Supplement so indicates,
we may grant the underwriters an option to purchase additional shares at the public offering price, less the underwriting discounts and commissions, within 45 days from the date of the Prospectus Supplement, to cover any overallotments.
