Scipher plc ("the Company")

Scipher plc was advised on 14 April 2003 that Henderson Global Investors and
its associated companies (acting as agent for its discretionary clients) no
longer hold ordinary shares in the Company.

This disclosure follows the sale of 3,341,141 ordinary shares on 10 April 2003
for Henderson Smaller Companies Investment Trust who therefore no longer hold
any shares in the Company.
