                             Conversion of Shares 
 
The Company announces that it has received Conversion Notices in respect of the 
30 June 2012 Share Conversion Date from shareholders in respect of 1,526,000 UK 
Emerging Companies Shares which will be converted into Cash Fund Shares. 
 
Conversion will occur on the Share Conversion Date of 30 June 2012 or shortly 
following receipt by the Company of the proceeds of redeeming its shares in the 
underlying fund. 
 
The number of Cash Fund Shares that a Shareholder will receive as a result of a 
conversion will be equal to:

where: 
 
A = the aggregate Net Asset Value of the UK Emerging Companies Shares to be 
converted as at the Underlying Fund Dealing Date for the UK Emerging Companies 
Shares less: (i) the costs and expenses of effecting the conversion and (ii) 
such other amount as the Directors may in their absolute discretion determine 
is appropriate to ensure fair treatment of the remaining holders of UK Emerging 
Companies Shares and the existing holders of Cash Fund Shares; and 
 
B = the Net Asset Value per Share of the Cash Fund Shares as at the Underlying 
Fund Dealing Date for the UK Emerging Companies Shares (including, for the 
avoidance of doubt any net income received or receivable by the Company in 
respect of its assets attributable to the Cash Fund Shares but not yet 
distributed). 
 
Shareholders will not be able to deal in Shares subject to a conversion request 
between the date on which the Share Conversion Instruction for Certificated 
Shareholdings or USE message, as appropriate, is received by Computershare 
Investor Services PLC and the actual date of conversion. 
 
Fractions of Shares arising on conversion shall be rounded down to the nearest 
whole Share, therefore the aggregate NAV of those Shares held after conversion 
may be less than before the conversion. 
 
Converting Shareholders will be notified upon the conversion taking place.
