TOTAL VOTING RIGHTS

("the Company")
"In conformity with the FSA's Disclosure and Transparency Rules
("the Rules"), the Company would like to notify the market of the
following:
As at 12 February 2013, further to
the redemption and Compulsory Conversion of all the Company's Cash
Fund Shares, the Company's issued share capital (excluding treasury
shares) consists of the following:
- 42,012,922 UK Emerging Companies Shares with 1.3 voting rights
per share
As at 12 February 2013, the
Company held 300,000 UK Emerging Companies Shares in treasury.
From 12 February 2013, the Company
has no Cash Fund Shares in issue.
As there is currently only one share class in existence, for the
purposes of arriving at the denominator for the calculation by
which shareholders will determine if they are required to notify
their interest in, or a change to their interest in, the Company
under the Rules, shareholders may use the total of 42,012,922 (and
dis-regard the voting rights rebalancing factor of 1.3). This
factor should also be dis-applied on the calculation of the
numerator for the purposes of this calculation."
