                             Cancellation of shares

As a result of the 1,425,000 Shares voted "Against and Cash Out" on Resolution 1
at the October 27, 2006, Special Meeting of Shareholders, such Shareholders will
have their eligible Shares repurchased at the repurchase price of $7.71.
Repurchase and cancellation of these Shares has been delayed pending receipt of
the relevant Share certificates. As of this date, 700,000 Shares have been
cancelled leaving a balance of 725,000 Shares expected to be cancelled when the
certificates have been received and filed with the Company's registrar.
Accordingly, 700,000 Common Shares have been cancelled by the Company and a
total of 27,425,000 Common Shares remain outstanding.
