                              Exchange Commission

FutureFuel Corp. has filed with the U.S. Securities and Exchange Commission a
Form 10 Registration Statement pursuant to Section 12(g) of the U.S. Securities
Exchange Act of 1934, as amended. This Registration Statement was filed to
comply with FutureFuel Corp.'s obligation under the Investor Rights Agreement to
file such a registration statement within 180 days of the consummation of a
qualified business combination. FutureFuel Corp.'s acquisition of Eastman SE,
Inc. (now known as FutureFuel Chemical Company) constituted such a qualified
business combination. Such acquisition was consummated on October 31, 2006. The
180-day period expires on April 29, 2007.
