Proactive Sports Group PLC (the "Company")
Issue of Equity

The Company has issued 734,000 ordinary shares to the vendors of Sport Line
Soccer Management Co. Limited ("Sport Line") at a price of 3.5 pence per share
in respect of the deferred consideration payable pursuant to an acquisition
agreement in connection with the acquisition of Sport Line on 31 May 2001.

These new ordinary shares will rank pari passu with the existing ordinary shares
of the Company, and trading is expected to commence on Wednesday 19 November
2003.

The Company has no further deferred consideration payments pursuant to previous
acquisitions, which it is required to settle by the issue of ordinary shares.
