Exercise of Warrants

Teathers announces that on 25 September 2015 it received notice to exercise warrants over 250,000 ordinary shares of 0.5p each in the Company ("Ordinary Shares") at an exercise price of 3p per Ordinary Share. Accordingly, the Company has issued, in aggregate, 250,000 new Ordinary Shares in settlement of this exercise (the "Warrant Exercise").

On 24 September 2015, the Company announced an exercise of warrants that was believed to be the final subscriptions relating to the 3 pence warrants that were associated with the placing dated 23 September 2014. However, a warrant holder informed the Company today that they had chosen to exercise a further tranche of their remaining warrants.

The new Ordinary Shares will rank pari passu with the existing Ordinary Shares and application has been made for the new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and dealings in the new Ordinary Shares will commence at 8.00 a.m. on 1 October 2015.

Following the Warrant Exercise, the Company's issued share capital will consist of 64,541,810 Ordinary Shares with voting rights. There are no Ordinary Shares held in treasury. This number 64,541,810 may be used by shareholders, following the Warrant Exercise, as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
