In accordance with Disclosure and Transparency Rule 5.6.1, the Company would like to notify the market of the following:

As at 31 October 2011, ViCTory VCT PLC's capital consists of 39,416,860 ordinary shares with voting rights. The Company does not hold any ordinary shares in Treasury.

Therefore the total number of voting rights in ViCTory VCT PLC is 39,416,860.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, ViCTory VCT PLC under the FSA's Disclosure and Transparency Rules.
