               Conversion of Loan Notes and Additional Listing


The Company has received a notice of conversion, in accordance with the Loan
Note Instrument dated 20 September 2004 between Evolution Beeson Gregory Limited
and the Company, to convert #25,000 into 25,000,000 fully paid ordinary shares
of 0.01p each in the Company.


The Company will make application for the 25,000,000 new ordinary shares to be 
admitted to trading on AIM and admission is expected to occur on 24 September 
2004.
