Submission of
Matters to a Vote of Security Holders |
On
February 21, 2024, Sizzle Acquisition Corp., a Delaware corporation (“Sizzle” or the “Company”), convened and
then adjourned, without conducting any other business, its special meeting of its stockholders (the “Special Meeting”) to
12:00 p.m. Eastern Time on February 22, 2024. The Special Meeting is being adjourned in order to facilitate matters in connection with
the transactions contemplated by the proposals, as set forth in the Company’s definitive proxy statement/prospectus, dated December
27, 2023 and filed with the Securities and Exchange Commission (the “SEC”) on December 28, 2023, and its related filings,
to approve, among other things, its proposed initial business combination (the “Proposed Business Combination”) with European
Lithium Limited, an Australian Public Company limited by shares (ASX: EUR) (“European Lithium”), European Lithium AT (Investments)
Limited, a BVI business company incorporated in the British Virgin Islands and a direct, wholly owned subsidiary of European Lithium
(“EUR BVI”), Critical Metals Corp., a BVI business company incorporated in the British Virgin Islands (“Critical Metals”)
and Project Wolf Merger Sub Inc., a Delaware corporation and a direct, wholly-owned subsidiary of Critical Metals (“Merger Sub”).
The number
of shares outstanding on the record date and entitled to vote at this special meeting is 9,356,653 shares of common stock of Sizzle,
and there were present, either in person or by proxy, holders of at least 4,678,327 shares of common stock entitled to vote at the Special
Meeting, that being a quorum of the shares entitled to vote.
The sole
proposal that was presented at the Special Meeting was the “The Adjournment Proposal,” which is a proposal allowing the Sizzle
board of directors to adjourn the Special Meeting to a later date or dates, if necessary or appropriate, to facilitate matters in connection
with the transactions and otherwise in connection with one or more proposals at the Special Meeting and contemplated by the Proposed
Business Combination. The Sizzle stockholders approved the Adjournment Proposal. The voting results were as follows:
