for stockholder approval and are fully described in the Proxy

- To elect three directors to serve until the next annual meeting
of stockholders and until their respective successors have been
duly elected and qualified, or until such director's earlier
resignation, removal or death;
- To ratify the appointment of Albert
Wong & Co. as the Company's independent registered
public accounting firm for the fiscal year ending December 31, 2014; and
- To act on such other matters as may properly come before the
meeting or any adjournment or adjournments thereof.
