Smoot as Trustee, purchased 5,000 shares of the common stock of TORtec Group Corporation (the "Company") and a 3.333% ownership interest in the Company's partially owned subsidiary, TORtec Nanosynthesis Corp., for $50,000. Stephen H. Smoot holds voting and dispositive power over the shares held in the Trust and he is the primary beneficiary of the Trust during his lifetime.
