Notice of AGM and Posting of Annual Report

Calnex Solutions plc (AIM: CLX), an established provider of test and measurement solutions for the global telecommunications sector, confirms that its Annual General Meeting ("AGM") will be held on 19 August 2021 at 9.00 a.m. at Oracle Campus, Linlithgow, EH49 7LR.

The Company's Annual Report and Accounts for the financial year ended 31 March 2021, along with the Notice of Annual General Meeting and a Form of Proxy, has been posted to shareholders and is available on the Company's

website at:   https://investors.calnexsol.com/.

Proposed AGM arrangements

At the time of publication of this notice, the Scottish Government has prohibited public gatherings, save in certain limited circumstances, but the Board has noted the gradual easing of public health restrictions across Scotland in line with the Scottish Government's "Scotland's Strategic Framework Update" document published in February 2021. Based on that framework and associated guidance, it is currently uncertain whether attendance at the AGM in person will be lawful. The Company will ensure that sufficient of the Directors to form a quorum will be present in person at the AGM, observing relevant social distancing guidelines in place on the date of the meeting. However, given ongoing public health considerations, shareholders are strongly encouraged not to attend the AGM in person.

Whilst the Board does not expect there to be any significant physical turnout by shareholders, shareholders who do wish to attend the AGM in person are asked to email investors@calnexsol.com by no later than 5.30 p.m. on 30 July 2021 to confirm their intention to attend, in order that the Company can be confident that the facilities proposed for the AGM will be able to accommodate attendance in accordance with appropriate COVID procedures. If circumstances and/or public health guidance changes, shareholders (and anyone other than the Chair who is appointed as a proxy) may not be permitted to attend the meeting in person and the Board recommends that shareholders monitor the Company's announcements for updates.

The Company remains committed to encouraging shareholder engagement on the business of the AGM and shareholders are invited to participate in the AGM online via Zoom. To do so, shareholders are required to pre-register by sending an email to investors@calnexsol.com by no later than 5.30 p.m. on 30 July 2021, following which detailed joining instructions will be provided.

Shareholders are strongly encouraged to complete and return a form of proxy to appoint the Chair of the meeting as their proxy and to give their instructions on how they wish the Chair to vote on the proposed resolutions.

Shareholders are invited to submit questions in advance of the AGM by email to investors@calnexsol.com by no later than noon on 18 August 2021. Questions may also be submitted electronically during the AGM via Zoom.
