Polar Capital Holdings plc ("Polar Capital" or the
"Company")
Notification of Transactions by Persons Discharging Managerial
Responsibilities (PDMRs)/Persons Closely Associated (PCAs)
The Company was notified on 29 July 2021 that Mr Iain Evans, a
person discharging managerial responsibilities, exercised a 100,000
share options at 426.75p per share under the Company's 2016
Executive Incentive Plan (the "Plan").
The option was issued in accordance with the rules of the Plan
and use of the provisions relating to Equity Settled Share
Appreciation Rights ('ESARS'). The use of the ESARS provisions
allows the Company to issue to the option holder only the number of
shares that would equate to the number of shares over which the
option becomes exercisable less the number of shares that would
have needed to be sold to fund the purchase of that number of
shares on the exercise date.
The Employee Benefit Trust (EBT) transferred 51,516 ordinary
shares of 2.5p each ("Ordinary Shares") in full satisfaction of the
option exercise, 28,123 shares were then sold at the market price
of 880.20p per Ordinary Share, the balance of 23,393 shares has
been retained by Mr Iain Evans.
