Under the definitive merger agreement, which was announced on November 2, 2010, COMFORCE shareholders will receive $2.50 in cash for each share of COMFORCE/CFS common stock they hold. The transaction is valued at approximately $84.8 million. According to a press release issued by COMFORCE, “[c]ertain directors, executive officers and stockholders of COMFORCE beneficially owning approximately 31.0% of COMFORCE’s common shares outstanding have entered into agreements to vote in favor of the merger agreement.”

The investigation relates to possible breaches of fiduciary duty and other violations of state law by the Board of Directors of COMFORCE for approving this transaction and whether COMFORCE’s Board of Directors acted in the shareholders’ best interests.
