This is to advise you, in accordance with Section 198 of the Companies Act 1985,
(as amended by Section 134 of the 1989 Act), that Henderson Global Investors and
its associated companies (acting as agent for its discretionary clients) now 
hold (either directly or indirectly) 10,652,945 ordinary 10p shares in Diagonal 
Plc which represent 11.92% of the issued share capital.

This disclosure follows the sale of 170,000 ordinary 10p shares in Diagonal
Plc on 6th May 2003 for Henderson Smaller Companies Investment Trust whom now
hold 2,530,000 shares which represents 2.83% of the issued share capital.
