The Toronto-Dominion Bank has agreed to issue EUR 1,000,000,000 Floating Rate Senior Notes due July 2025, Series GMTN 2023-1 (the "Notes") pursuant to its U.S.$40,000,000,000 Global Medium Term Note Programme (the "Programme").

The following documents constitute the final terms in respect of the Notes dated 19 July 2023 (the "Final Terms") relating to the admission to trading of the Notes for purpose of Article 8 of Regulation (EU) 2017/1129 as it forms part of domestic law by virtue of the European Union (Withdrawal) Act 2018 and must be read in conjunction with the Prospectus dated 30 June 2023, relating to the Programme (together, the "Prospectus"). Full information on The Toronto-Dominion Bank and the offer of the Notes is only available on the basis of the combination of the Final Terms and the Prospectus.
