                                 AGM Statement                                  

                                                                                

                                                                                

2waytraffic N.V. ("2waytraffic" or "the Company"), the AIM listed international
developer and exploiter of interactive entertainment content, will make the
following statement at the Company's Annual General Meeting today.

 

"Our television business is performing well with a number of new formats having
been well received by the Company's international broadcast clients. Our newly
developed format "Holiday Fever" has received positive early interest and has
been optioned in Germany. "The Ring" has been optioned in Australia and in
Denmark our studio audience show "Millions Choice" is being piloted.

 

"Who Wants To Be A Millionaire?" has been re-launched in Serbia, "Hypnotic
World", a prime time television format, has been sold to Russia and "High
Tension" another of the Company's catalogue of new prime time formats has been
re-commissioned in Italy.

 

Options have been sold to the French producer of "Who Wants To Be A Millionaire?
", Starling ,for the 2waytraffic formats "Last One Standing", "Turn Back Your
Body Clock", "High Tension" and "The People Versus".

 

"Take It Or Leave It" has extended its geographical reach with a deal in Vietnam
and in the UK a second series of the programme has been commissioned by
Challenge TV. This highly successful game show now has a track record of airing
in over 25 countries worldwide.

 

"That's The Question", is also performing well with new deals in Finland, with
Game Show Network in the US where it has been re-commissioned for 65 episodes
starting this summer and has just begun its first series of 60 episodes in the
UK.

 

We also have further new contracts for 260 episodes of game show format "The
Connection" for RTL in Belgium. The brand new lifestyle show "Your Body and
Mind" has been sold to RTL in the Netherlands and began broadcasting on 20 May
for an eight week run.

 

Call volumes in our participation TV business in the Benelux are beginning to
recover and in Belgium a permit has been granted to 2waytraffic's broadcaster
partner to perform participation TV programmes.

 

Overall, we have broadened our TV content offering substantially over the past
year, which has resulted in participation TV forming a decreasing part of our
business. We expect the shortfall in participation TV revenues to be offset by
the strong performance and new contract pipeline elsewhere in our TV division.

 

The 2waytraffic mobile division is currently in the last stage of developing a
customer-friendly internet portal for mobile content. Alongside content created
exclusively for 2waytraffic mobile, the portal will also offer high quality
content from a number of major music labels and other well-known brands. The
portal will launch in June 2007 in the US with a roll out across a number of
additional territories throughout 2008.

 

In the digital division, new management was appointed at HIPTV to take our
digital business to the next level. We have a focussed strategy which aims to
leverage our high quality television and mobile brands and on taking our
strength in interactive games to the internet. This resulted in an online game
based on our format "Take It Or Leave It" for Challenge TV and an internet
platform for the new lifestyle format "Your Body and Mind".

 

Overall, the Board is encouraged by the progress made to date, and while being
conscious of the second half weighting of the business, we are confident in
meeting market expectations for the full year. Looking forward, our strategy for
2007 and 2008 remains focused on growth through expanding our intellectual
property catalogue and extending both our geographic reach and our talent pool.
The Company is now well positioned as one of the leading developers and
exploiters of interactive and other content in a global media market which is
adapting to the convergence of delivery platforms and a growing demand for high
quality interactive content.
